$99 to Open, $199 to Keep

Bought as a standalone product, unattached to any formation package, ZenBusiness lists the opening term at $99 plus state fees. After that the rate becomes $199 a year.

Neither figure is dishonest. They describe different stretches of time, and only the second one repeats. Florida requires an appointed agent for as long as your entity stays active on the Sunbiz record, which means the recurring number describes the relationship while the opening number describes its first twelve months.

The "plus state fees" tail deserves a second look too. Anything filed with the state as part of that order gets billed on top of the $99, so the advertised figure and the charge on your card can be two different totals.

Four hundred dollars separates those columns over five years. The appointment itself is the same appointment on the Sunbiz record either way.

The Florida Column, and Nothing Behind It

Ninety-nine dollars a year, and the renewal invoice reads $99 for as long as you stay with us. Nothing about it is scheduled to change, because we never ran an opening promotion in the first place. Florida handles the handover with one short filing. An LLC sends form INHS18, the state's statement for changing a registered office, a registered agent, or both, to the Division of Corporations, Registration Section, at the Florida Department of State, along with a $25 fee. Corporations file their own version of that document and pay $35, so confirm which one applies to your entity before you write the check. Fla. Stat. § 605.0114 is the provision the form operates under.

The document wants your entity name, the Sunbiz document number, the incoming agent's name, the Florida street address that will serve as the registered office, and a signature from the new agent accepting the job. That last item settles the order of operations for you. Nobody signs an acceptance for a role they have not agreed to take, so the replacement has to be engaged before the paperwork can even be completed.

A second route is worth knowing about. If your annual report for the year is still unfiled and the January 1 to May 1 window is open, you can name the new agent right on that report and skip INHS18 entirely.

Whichever route fits, leave the ZenBusiness plan running until Sunbiz shows the change. Cancelling first would put your entity on the public record with nobody appointed to accept a summons, which is a self-inflicted problem and the easiest one on this page to avoid.
