Short verdict: Stripe Atlas is the better tool for a venture-bound Delaware corporation, and it can't give you a Florida LLC at all. If you've picked Florida, perhaps because your customers, a partner, or a warehouse are there, the choice is between Florida providers. Can Stripe Atlas form a Florida LLC?

No. Atlas files in Delaware only. It offers a Delaware LLC or C-corp, and nothing in Florida or any other state.

First-year and ongoing cost

  1. Atlas, year one (Delaware): $500, or nothing after the Treasury refund.
  2. Our package, year one (Florida): $399 + $125 = $524.
  3. Atlas, each later year: $100 for its agent, and Delaware separately charges its $400 annual LLC tax.
  4. Ours, each later year: $99 for the agent, and Florida separately charges $138.75 for the annual report.

Atlas wins year one by $24 before any refund. From the second year, the Delaware LLC costs about $500 annually in agent and state charges, against roughly $238 for our agent plus Florida's report. That gap is a result of the two states' fees as much as the two providers.

Annual obligations: Delaware versus Florida

Atlas doesn't file Delaware's tax for you, and we don't file Florida's report for you, so either way that part is yours. In Florida it means a Sunbiz filing between January 1 and May 1 at $138.75. After May 1 there's a $400 late fee with no waiver available, and a company still missing its report on the third Friday of September faces administrative dissolution.

We fill in Form SS-4 for a responsible party with no SSN, get your electronic signature, and fax it. The IRS has no expedited lane for these; most arrive within two to eight weeks.

Can I form a Florida LLC through Stripe Atlas?

No. Atlas incorporates in Delaware only, either as an LLC or a C-corp. A non-resident set on Florida has to look elsewhere.

Is Atlas cheaper than your Florida package?

In year one, slightly. Atlas charges $500, which already pays Delaware's filing fee plus its first year as your agent, while our Florida total is $524. Park $5,000 in Stripe Treasury and Atlas refunds its fee.

What comes due each year afterward?

Should a startup planning to raise venture money use Atlas?
